Terms and Conditions
Last updated:
1. Who we are and how to contact us
The NOT NULL AI service at notnullai.com is provided by:
- NOT NULL AI s.r.o.
- Registered office: Renoirova 624/1, Hlubočepy, 152 00 Praha 5, Czech Republic
- Company ID (IČO): 244 21 618
- Registered in the Commercial Register kept by the Municipal Court in Prague, Section C, Insert 440909
- E-mail: info@notnullai.com
- Telephone: +420 774 170 792
NOT NULL AI s.r.o. is not a VAT payer and has no VAT identification number.
In these Terms, “NOT NULL AI”, “we”, “us” and “our” mean NOT NULL AI s.r.o. “You” means the person who uses the service, creates an account or purchases credit from us.
Photo-to-Figurine figurines are not sold by NOT NULL AI s.r.o. They are sold by ZIGILAB s.r.o. under its own terms of sale; see section 12.
You can contact us about anything in these Terms, including complaints, withdrawal and refund requests concerning contracts with us, by e-mail or telephone using the details above.
2. Scope of these Terms and how they apply
These Terms govern the use of the NOT NULL AI website, applications and related services (together, the “service”), including:
- NOT NULL AI user accounts;
- access to AI models through the NOT NULL AI chat, paid for with prepaid credit (“Chat”);
- the use of the Photo-to-Figurine tool, through which you can prepare an order of a personalised physical figurine made from your photograph, whether you use it on notnullai.com or embedded on a partner’s website (the figurine itself is sold by ZIGILAB s.r.o. under its own terms of sale, see section 12); and
- any other features we make available under these Terms from time to time.
These Terms apply to you when you create an account, when you use the service, or when you purchase credit from us, whichever happens first. By doing so you confirm that you have read and accept them. If you do not agree with these Terms, please do not use the service.
Some features may be subject to additional conditions that we show to you before you use them or before you place an order. If additional conditions or an order confirmation conflict with these Terms, the more specific conditions prevail for that feature or order, except where mandatory law provides otherwise.
These Terms do not govern the purchase of figurines. The contract for the purchase of a figurine is concluded between you and ZIGILAB s.r.o. and is governed by ZIGILAB s.r.o.’s terms of sale.
Our Privacy Policy explains how we process personal data. It is provided for your information and is not part of the contract between us.
3. Consumers and business users
Some provisions of these Terms apply differently depending on who you are:
- Consumer means a natural person who uses the service or concludes a contract with us outside the scope of their trade, business or profession.
- Business user means anyone who uses the service or concludes a contract with us within the scope of their trade, business or profession, including a person acting on behalf of a company or other organisation.
If you are a consumer, you have the rights that mandatory consumer protection law gives you, and nothing in these Terms limits them. Where these Terms give business users different or narrower rights, we say so expressly.
4. Who may use the service
You may create an account, purchase credit or use the Photo-to-Figurine tool only if you are at least 18 years old and able to enter into a binding contract. The service is not intended for children.
A business may use the service only through natural persons it has authorised to act on its behalf. If you use the service on behalf of a business, you confirm that you are authorised to bind it to these Terms, and both you and that business are bound by them.
You may not use the service where doing so would breach the law that applies to you, or if we have previously terminated your access for a breach of these Terms, unless we agree otherwise.
5. The service
NOT NULL AI is a pay-as-you-go gateway to artificial intelligence models operated by third-party providers, together with related digital tools. At the date of these Terms, the service includes:
- Chat: conversations with AI models of several providers, including conversations that branch into alternative versions, paid for from a prepaid credit balance that belongs to your account;
- Accounts: sign-in with an e-mail address and password or with Google, account settings and a record of your usage and payments;
- Photo-to-Figurine: a tool, operated by us, for the upload and adjustment of a photograph, automated checks, generation of an AI preview and the technical handling of an order of a personalised physical figurine, which is sold, manufactured and delivered by ZIGILAB s.r.o. (see section 12).
The service is an AI service: the content it generates is produced by AI models. The features, models, providers and limits available at any time are those shown in the service. The service evolves, and we may add, change or remove features as described in section 16.
6. Accounts and sign-in
Creating an account
You can create an account with your e-mail address and a password, or by signing in with your Google account. We may ask you to confirm your e-mail address before the account can be used. The Photo-to-Figurine tool does not require an account.
Each account has its own prepaid credit balance. You must give accurate information when you create your account and keep your e-mail address up to date, because we use it to contact you about your account, your purchases of credit and changes to these Terms.
Signing in with Google
If you sign in with Google, Google authenticates you under its own terms. If the verified e-mail address of your Google account matches the e-mail address of an existing NOT NULL AI account, the Google sign-in may be linked to that account. You can manage the sign-in methods of your account in your account settings, provided at least one sign-in method remains.
Keeping your account secure
You are responsible for keeping your password and your access to your e-mail and Google accounts secure, and for activity in your account that results from your failure to do so. Do not share your account with others. Tell us without undue delay at info@notnullai.com if you believe your account has been used without your permission.
For your protection, we may ask you to sign in again or otherwise confirm your identity before sensitive actions, such as changing sign-in methods or deleting your account, and we may end sessions or temporarily restrict access where we reasonably suspect unauthorised use.
Deleting your account
You can delete your account at any time in your account settings. Deletion closes the account: you can no longer sign in, and you lose access to your conversations and account history. We retain records as described in our Privacy Policy, for example where the law requires us to keep accounting records or where we need them to protect our legal claims.
Deleting your account does not by itself refund remaining credit. Please request a refund before or when you delete your account (see section 7). Consumers keep the right to a refund of unused credit described there.
7. Chat: prepaid credit, prices and payment
Prepaid credit
Chat is paid for in advance. You add credit to your account balance (a “top-up”) and the price of each request is deducted from that balance. Credit is denominated in US dollars (USD). Credit is a prepayment for the use of the service; it is not money, carries no interest, and cannot be transferred to another account or exchanged for cash except as described in these Terms or required by law.
Top-ups and payment
Top-ups are sold by NOT NULL AI s.r.o. and paid through Stripe’s hosted payment page to NOT NULL AI s.r.o. The minimum top-up amount is shown in the service before you pay (at the date of these Terms, USD 5). We may set other limits on the amount or frequency of top-ups.
Payment is processed by Stripe under its own terms; we do not receive your full card details. Credit is added to your balance once Stripe confirms the payment. If a payment fails, is cancelled or is reversed, no credit is added, or credit already added may be removed to the extent of the reversal. Your bank or card issuer may charge its own fees, for example for currency conversion; these are not charged by us.
Prices for model usage
Each AI model has its own prices, shown in the service, expressed per number of tokens (the units in which AI models measure text and other input and output). Different prices may apply to different kinds of tokens, such as input, cached input, output (including any reasoning the model performs) and generated images.
The price of a request is calculated exactly from the number of tokens processed and the applicable prices. Your balance may be displayed rounded down to whole cents, but it is kept and charged precisely. The service shows the cost of your requests in your usage history.
Before a request is sent to a model, we reserve from your balance the maximum amount the request could cost. After the request completes, only its actual price is charged and the rest of the reservation is returned to your balance. If your available balance is insufficient, the request is not sent.
Prices can change, for example because providers change their own prices. A price change applies only to requests made after it takes effect and does not change the price of requests already made. If a change to prices is to your disadvantage and you do not agree with it, you may stop using the service and request a refund of your unused credit.
Taxes
NOT NULL AI s.r.o. is not currently registered for VAT, so no VAT is added to the prices shown. The prices shown are the final prices you pay. If our tax status changes, the prices shown to you before each purchase will include any tax that applies.
Validity of credit
Credit does not expire while your account is active. If the contract ends, refunds of unused credit are handled as described below, including when we discontinue Chat or close your account.
Refunds of unused credit
If you are a consumer, you have the right to withdraw from a credit purchase within 14 days, as described in section 14.
If you are a consumer and your contract with us ends for any reason, including because you delete your account, we will refund your unused credit on request, to the original payment method where possible, less any amount you owe us to the extent permitted by law. You can request the refund using the function in the service or by e-mail to info@notnullai.com. If you are a business user, we may grant a refund at our discretion, except where these Terms or the law require one.
8. AI models and generated content
The nature of AI output
AI models generate responses by predicting likely content. Their output is probabilistic: the same request can produce different responses, and output may be inaccurate, incomplete, outdated, biased, offensive or entirely fabricated while appearing confident and plausible. This is an inherent characteristic of the technology, and it is part of the agreed description of the service.
You are responsible for how you use output. Please check important output against reliable sources before you rely on it. Output is not professional advice and is not a substitute for advice from a qualified professional, in particular in legal, medical, financial, tax, safety or other regulated matters. Do not use the service as the sole basis for decisions that could affect anyone’s health, safety, rights or finances.
We do not promise that output will be accurate, complete, unique, suitable for a particular purpose or free of third-party rights. If you are a consumer, this does not affect your statutory rights to a service that conforms to the contract.
Models and providers
Models are developed and operated by third-party providers. The selection of models, their versions, capabilities, context sizes and output limits may change. A provider may change, restrict, replace or withdraw a model, and we may add, replace or remove models or providers, including by substituting a comparable model. We do not promise that any particular model or provider will remain available.
Providers may refuse or filter requests or output under their own safety policies. A request may fail or be interrupted because of a provider outage or other technical reasons. Charges for a failed or interrupted request, if any, are limited to the processing actually performed and are shown in your usage history.
Usage limits
Models have limits on the size of requests and responses, and we may set reasonable limits on usage, such as limits on the number or frequency of requests, conversation length or output size, to protect the service, manage capacity or comply with provider requirements.
Your use of output
As between you and us, you may use output for any lawful purpose, subject to these Terms and the rights of third parties. We claim no ownership of output generated for you. Under Czech law only a natural person can be an author, so output generated by AI may not be protected by copyright, and neither you nor we may be able to prevent others from using similar content. If you publish output, you are responsible for complying with the law, including any obligation to disclose that content was generated or altered by AI, and you must not remove or alter any marking that identifies content as AI-generated.
9. Your content
“Your content” means anything you submit to the service, including prompts, messages, photographs, images, files and order details.
Ownership
You keep whatever rights you have in your content. We do not claim ownership of it.
Your responsibility for your content
You may submit content only if you have all the rights, permissions and consents needed to do so and for us to process it as described in these Terms. Your content and its use through the service must not breach the law or the rights of others, including copyright, trademark, privacy and personality rights.
Images of people. If you submit a photograph showing a person other than yourself, you must be entitled to do so, for example because that person has agreed to their image being used to create a figurine or to be processed by the service, or because you are their parent or legal guardian. Please do not submit photographs of people without such a basis.
Photographs can contain hidden information, such as the location where they were taken. Please remove information you do not want to share before uploading.
Permission to operate the service
You grant NOT NULL AI s.r.o. a non-exclusive, worldwide, royalty-free licence to use your content, including to store, host, reproduce, adapt, edit, transform, process and transmit it, and to generate output from it, to the extent necessary to:
- provide and operate the service, including sending your content to AI model providers and other service providers that act for us;
- operate the Photo-to-Figurine tool and pass the order, including the processed photograph and the generated preview, to the seller of the figurine, ZIGILAB s.r.o., so that the figurine you order can be manufactured and delivered;
- provide support and handle your requests and complaints;
- maintain, secure and protect the service, including investigating misuse; and
- comply with the law and establish, exercise or defend legal claims.
The licence lasts for as long as we need it for these purposes.
Our role
We are not obliged to monitor your content, but we may review it where needed for the purposes above, such as when handling a complaint, investigating a report or suspected misuse, or complying with the law.
10. Acceptable use
You may use the service only lawfully, in good faith and in accordance with these Terms. You must not use the service, or allow anyone else to use it, in a way that is unlawful, harmful, fraudulent, abusive or infringing, or that threatens the security, integrity or availability of the service, of our providers or of anyone else. This includes, for example:
- creating or distributing content that is illegal, including child sexual abuse material, or content that infringes the rights of others;
- harassing, threatening, deceiving or impersonating others, or creating misleading content about real people;
- attempting to gain unauthorised access to the service, other accounts or systems, circumventing limits, safety measures or payment, or interfering with the operation of the service;
- using the service in breach of the usage policies of the AI model providers, which we may make available to you or which are published by those providers; and
- reselling or providing access to the service to third parties without our prior written consent.
These examples are illustrative; a use not listed can still breach this section.
We may refuse to process requests or content, remove or disable access to content, refuse to pass an order made through the Photo-to-Figurine tool to the seller, restrict or suspend your account, and investigate suspected misuse, where we reasonably consider it necessary because of a breach of these Terms, a risk to the service or to others, a requirement of a provider, or the law. We act proportionately and, where required by law, will inform you of the reasons. We may preserve relevant information and report unlawful activity to the competent authorities.
Reporting content and misuse
If you believe that content processed through the service is illegal or that the service is being misused, please tell us at info@notnullai.com, with enough detail for us to assess it. You can also use this address to contact us about a decision we have made to restrict your content or account.
11. Photo-to-Figurine
NOT NULL AI s.r.o. operates the Photo-to-Figurine tool: the upload and adjustment of photographs, the automated checks, the generation of AI previews and the technology that handles orders. This section governs your use of that tool. The figurines themselves are sold by ZIGILAB s.r.o., identified in section 12, under its own terms of sale. You can use the tool on notnullai.com or embedded on a partner’s website; the operator of a partner website is not a party to your use of the tool or to the purchase of a figurine. No account is needed.
How it works
- You upload a photograph and may adjust it (for example crop, rotate or mirror it).
- You choose the options of your figurine, such as size, style, colouring, stand and engraved name, as offered at the time.
- We generate an AI preview of the figurine from your photograph. Generating a preview does not oblige you to buy anything.
- You review the preview and the price, enter your contact details, select a Packeta pickup point for delivery, and may enter a promo code.
- You pay through the Stripe payment page of the seller, ZIGILAB s.r.o.; the payment goes to the seller.
- We pass your order, together with the processed photograph and the preview, to the seller, which manufactures the figurine and delivers it to the selected pickup point.
Automated checks
Photographs are checked automatically. We count the number of people and animals shown in your photograph automatically; the price of a figurine depends on that number and is shown to you before payment. Groups of more than three subjects cannot currently be ordered through the tool; contact the seller, ZIGILAB s.r.o., for an individual offer. The AI provider may also refuse to generate a preview under its safety policies. If your photograph is refused or generation fails, you can try another photograph or contact us. If you believe that the automatic count or a refusal is wrong, please contact us and we will review it.
The preview and the physical figurine
The preview is an AI-generated illustration of the intended figurine. It shows what the figurine is intended to look like, but it is not a photograph of the finished product. The figurine is manufactured to your specification by printing and, depending on the style chosen, by hand finishing or painting, so the physical figurine may differ from the preview, for example in colour shades, fine detail, surface texture and proportions. Some elements, such as an engraved name on the stand, are added only in production and may not appear in the preview. Whether a difference amounts to a defect is assessed under the seller’s terms of sale and the law.
Purchase of the figurine
When you complete your order and payment, the contract for the purchase of the figurine is concluded between you and ZIGILAB s.r.o. and is governed by ZIGILAB s.r.o.’s terms of sale, shown or linked before payment and published at zigilab.cz. NOT NULL AI s.r.o. is not a party to that contract. The price (which includes delivery to the selected Packeta pickup point), payment, production and delivery times, ownership and risk, cancellation, complaints and refunds for figurines are matters for the seller under its terms of sale.
Promo codes for figurines, including codes issued through partners, apply under the seller’s terms of sale and the conditions communicated with them. We may refuse or invalidate a promo code in the tool where it has been obtained or used by mistake, in breach of its conditions, or in an abusive or fraudulent way, including by abuse of the tool.
Withdrawal and returns
Withdrawal, cancellation and returns for figurines are governed by ZIGILAB’s terms of sale, which are shown or linked before payment.
12. Seller of Photo-to-Figurine products
The seller of figurines ordered through the Photo-to-Figurine tool, your contracting party for their purchase and the recipient of the payment is:
- ZIGILAB s.r.o.
- Registered office: Phov 4, 256 01 Soběhrdy, Czech Republic
- Company ID (IČO): 21414912
- VAT ID (DIČ): CZ21414912
- E-mail: podpora@zigilab.cz
- Telephone: +420 607 012 369
- Further contact details and terms of sale: zigilab.cz
Payment for figurine orders is made through Stripe to ZIGILAB s.r.o. Please direct questions, complaints and requests about the purchase, price, delivery or quality of a figurine to ZIGILAB s.r.o.
Questions about the Photo-to-Figurine tool itself, such as uploading and processing photographs, automated checks, refusals and previews, can be directed to NOT NULL AI s.r.o. using the contact details in section 1.
13. Concluding contracts online
Contracts under these Terms are concluded electronically, by means of distance communication. You pay your own costs of internet access and communication; we do not charge for them.
Steps to conclude a contract
- Account: the contract on the use of the service is concluded when you complete registration or first sign in with Google. The registration page informs you that by creating an account you agree to these Terms.
- Chat credit: you choose the top-up amount in the service, continue to the Stripe payment page and confirm the payment there. The contract for the purchase of credit is concluded when the payment is successfully completed.
The purchase of a figurine through the Photo-to-Figurine tool is a contract with ZIGILAB s.r.o., concluded under its terms of sale; see section 11.
Correcting input errors
Before you pay, you can check and correct the information you have entered, including the amount of a top-up, by going back to the relevant step. You can leave the Stripe payment page without paying. In the Photo-to-Figurine tool, you can likewise check and correct the photograph adjustments, options, contact details and pickup point before you continue to payment; after payment, please contact the seller without delay if you notice an error in your contact or delivery details.
Confirmation and archiving
We confirm the purchase of credit in text form by e-mail (for example by the payment receipt sent to the e-mail address you used at checkout). We keep a record of each contract, including the order and payment details, in electronic form. The current version of these Terms is published on this page, where you can save or print it; we will provide the version that applied to your contract on request.
Language
These Terms and contracts with NOT NULL AI are concluded in English; figurine purchases are governed by the seller’s terms and languages.
14. Right of withdrawal for consumers
Chat credit
If you are a consumer, you have the right to withdraw from a contract for the purchase of Chat credit without giving any reason within 14 days of the day on which the contract was concluded (Section 1829 of the Czech Civil Code).
To exercise the right of withdrawal, you must inform us of your decision by a clear statement sent before the withdrawal period expires, for example by e-mail to info@notnullai.com or by post to our registered office. You may use the model withdrawal form below, but it is not obligatory. The withdrawal period is met if you send your statement before it expires.
Using credit during the withdrawal period. Before you pay, the top-up page tells you that credit is made available immediately and that, by continuing, you request immediate provision before the withdrawal period expires. If you then withdraw, you pay for credit from that top-up already used until you informed us of your withdrawal (Section 1834 of the Czech Civil Code), and we refund the unused rest.
Effects of withdrawal. We will refund the amount due to you without undue delay and in any event within 14 days of receiving your withdrawal, using the same means of payment you used for the purchase, unless you expressly agree otherwise. You will not incur any fees as a result of the refund. After withdrawal, the refunded credit is removed from your balance.
Figurines
Figurines are sold by ZIGILAB s.r.o., not by us. Withdrawal from the purchase of a figurine is governed by the seller’s terms of sale; see section 11.
Business users
Business users have no right of withdrawal under this section.
15. Defects and complaints
This section applies to the service we provide, including Chat and the Photo-to-Figurine tool. Complaints about figurines, including their defects and delivery, are handled by the seller, ZIGILAB s.r.o., under its terms of sale; see section 12.
Chat and other digital services
If you are a consumer, we are responsible for the digital service conforming to the contract for as long as we provide it to you, in accordance with Sections 2389a et seq. of the Czech Civil Code. When assessing conformity, the nature of AI output described in section 8 is taken into account. If the service does not conform, you may request that we bring it into conformity, and in the cases provided for by law you may request a proportionate price reduction or terminate the contract.
How to make a complaint
You can make a complaint by e-mail to info@notnullai.com or by telephone at +420 774 170 792. Please describe the defect, state the remedy you request and include the e-mail address of your account and details of the affected requests or payments.
We will confirm receipt of your complaint in writing, stating when you made it, its content, the remedy you requested and your contact details. We will decide on your complaint, including the remedy, and inform you without undue delay and in any event within 30 days of receiving it, unless we agree on a longer period with you (Section 19 of Act No. 634/1992 Coll., on Consumer Protection). We will confirm to you in writing how the complaint was settled, or give reasons if we reject it.
Business users
If you are a business user, the consumer provisions described above do not apply to you. Your rights in respect of defects are governed by the Czech Civil Code, and you must notify us of any defect without undue delay after you discovered it or could have discovered it with reasonable care.
16. Availability and changes to the service
Availability
We try to keep the service available and working properly, but we do not promise that it will be uninterrupted, error-free or available at any particular time, and we provide no service level commitment unless we have agreed one with you in writing. The service may be unavailable or restricted, for example during maintenance, updates or outages, because of failures of our providers, or temporarily for reasons of security, abuse prevention, capacity, provider requirements or the law. We do not notify every technical change in advance.
Changes to the service
We may change the service, including its features, models, providers and limits, where there is a valid reason. Valid reasons include:
- a change, restriction or withdrawal of a model, feature or service by a third-party provider, or a change in the provider’s terms or prices;
- the addition of new models, features or providers, or the replacement of existing ones with comparable ones;
- security, stability, abuse prevention or technical reasons;
- a change in the law, a decision of a public authority, or a requirement of a payment or other provider; and
- the development and improvement of the service, including changes to its design and the way it works.
Changes to the service do not cost you anything extra. Where a change materially affects you, we inform you in advance by e-mail or in the app. If you are a consumer and a change negatively affects your access to or use of the service more than insignificantly, you may terminate the contract free of charge within 30 days of the notice or of the change, whichever is later (Section 2389q of the Czech Civil Code). If you terminate for this reason, you can request a refund of your unused credit under section 7.
Discontinuation
We may discontinue the service or any part of it. We will give you reasonable advance notice where practicable and, if we discontinue Chat, handle unused credit under section 7. Figurine orders already concluded with the seller remain governed by the seller’s terms of sale.
17. Third-party services
The service relies on third parties, including providers of AI models, sign-in (such as Google), payment processing (Stripe), e-mail, hosting and infrastructure, and the Packeta pickup-point selector. We choose these providers with reasonable care and may replace them at our discretion.
Some third-party services, such as Google sign-in, the Stripe payment page and the Packeta pickup-point selector, are provided to you directly by those third parties under their own terms and privacy policies. We are not responsible for services provided to you directly by third parties under their own terms, or for the content of third-party websites, including partner websites on which Photo-to-Figurine is embedded.
The contract for the purchase of a figurine is concluded between you and ZIGILAB s.r.o. under its own terms of sale (see section 12). We are not a party to that contract, and the seller is responsible to you for its performance.
Where we use third parties to perform our obligations to you, we remain responsible to you for the performance of those obligations to the extent required by law. Otherwise, we are not liable for failures of third-party services that are beyond our reasonable control, to the extent permitted by law.
18. Intellectual property
Our platform. The service, including its software, design, user interface, texts, graphics, and the NOT NULL AI name and logo, is protected by intellectual property rights that belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the service for its intended purpose in accordance with these Terms. You may not copy, modify, decompile or reverse-engineer the service, except to the extent the law permits despite this restriction, and you may not use our name or logo without our consent.
Your content. You keep your rights in your content, as described in section 9.
Output. Your use of output generated for you is described in section 8.
Third-party material. AI models, provider services and output may include or resemble material protected by the rights of third parties. Those rights belong to their holders, and you are responsible for ensuring that your use of such material is lawful.
19. Suspension and termination
By you. You may stop using the service and delete your account at any time (see section 6).
By us. We may suspend or restrict your access to the service, or terminate your account, where we reasonably consider it necessary because:
- you have breached these Terms or the law;
- we suspect fraud, abuse or unauthorised use of your account;
- your use poses a risk to the security or integrity of the service, our providers or others;
- a payment has been reversed, charged back or has not been made;
- we are required to do so by law, by a public authority or by a provider on which the service depends; or
- we discontinue the service.
We act proportionately to the reason, for example by restricting a particular feature rather than the whole account where that is sufficient. We inform you of the measure and its reason where appropriate and legally permitted. Where there is no urgent reason, we give you prior notice where appropriate and legally permitted. We may also terminate an account for other reasons with reasonable prior notice.
Unused credit on termination. If you are a consumer, you can request a refund of unused credit when your contract ends for any reason, including termination by us for breach. We may deduct amounts you owe us only to the extent permitted by law. For business users, refunds are at our discretion except where these Terms or the law require one; see section 7.
What survives. Provisions that by their nature are intended to continue after termination survive it, in particular those on payments owed, refunds, the licence to your content to the extent needed for the retention of records and for legal claims, intellectual property, liability, and governing law and disputes. Records we are required or entitled to keep are retained as described in the Privacy Policy.
20. Liability
Consumers
If you are a consumer, we are liable to you in accordance with the law, and nothing in these Terms excludes or limits our liability, or your rights in respect of defects, to the extent the law does not allow. When assessing any liability, account is taken of whether the damage was caused or contributed to by your breach of these Terms or by your reliance on output without the verification recommended in section 8, and of the nature of AI output described there.
Business users
If you are a business user, the following applies to the extent permitted by law:
- the service is provided to you in the condition and with the features available at the time, and we give no warranties or assurances that are not expressly stated in these Terms;
- we are not liable for loss of profit, loss of business, revenue or data, or any indirect or consequential loss;
- we are not liable for damage resulting from your reliance on output or from failures of third-party services beyond our reasonable control; and
- our total liability to you for all claims arising out of or in connection with the service and these Terms is limited to the total amount you paid to us in the 12 months before the claim is made. This limit reflects the prepaid, pay-as-you-go nature of the service and the prices charged for it.
Liability that cannot be limited
Nothing in these Terms excludes or limits liability for harm caused to a person’s natural rights, such as life, health or privacy, or for harm caused intentionally or by gross negligence, or any other liability that cannot be excluded or limited under the law (in particular Section 2898 of the Czech Civil Code).
Events beyond our control
Neither party is liable for failure or delay in performing its obligations caused by an extraordinary, unforeseeable and insurmountable obstacle arising independently of its will, such as natural disasters, epidemics, war, acts of public authorities, widespread failures of the internet, energy or communication networks, or cyber-attacks that could not reasonably be prevented (Section 2913(2) of the Czech Civil Code). The affected party will inform the other party where practicable and resume performance as soon as the obstacle ceases.
21. Your responsibility
You are liable in accordance with the law for damage you cause by breaching these Terms or the law in connection with your use of the service, including by submitting content you are not entitled to submit.
If you are a business user, you will compensate us for damage and reasonable costs, including reasonable costs of legal representation and amounts we are required to pay to third parties or public authorities as a direct result of your content, your breach of these Terms or your unlawful use of the service, including claims brought against us by third parties. We will inform you of any such claim without undue delay and allow you to take part in its defence where appropriate.
22. Complaints to authorities and out-of-court dispute resolution
If you have a concern, please contact us first; we will try to resolve it with you.
If you are a consumer and a dispute arising from a contract with us cannot be resolved directly, you have the right to seek its out-of-court resolution. The body competent for out-of-court resolution of consumer disputes is the Czech Trade Inspection Authority (Česká obchodní inspekce), https://coi.gov.cz, which provides information and a submission form for out-of-court dispute resolution (ADR). You may also use other methods of dispute resolution, including going to court.
Disputes about the purchase of a figurine are a matter between you and the seller, ZIGILAB s.r.o., under its terms of sale (see section 12).
The Czech Trade Inspection Authority also supervises compliance with consumer protection law, and you may submit a complaint to it. Complaints about the processing of personal data may be submitted to the Office for Personal Data Protection (Úřad pro ochranu osobních údajů), as described in our Privacy Policy.
23. Governing law and courts
These Terms and all contracts concluded under them are governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code, excluding the United Nations Convention on Contracts for the International Sale of Goods.
If you are a consumer habitually resident in another country, this choice of law does not deprive you of the protection given to you by the mandatory provisions of the law of that country. As a consumer, you may bring proceedings in the courts of the country where you are domiciled or in the Czech Republic, and we may bring proceedings against you only in the courts of the country where you are domiciled.
If you are a business user, the courts of the Czech Republic having jurisdiction for Prague have exclusive jurisdiction over any dispute arising from or in connection with these Terms, unless mandatory law provides otherwise.
24. Changes to these Terms
The service is provided on a continuing basis and evolves over time, so we may need to change these Terms, for example because of changes to the service, its providers or prices, the law or decisions of public authorities, or to improve clarity. Changes apply only to the future.
We will notify you of material changes at least 14 days before they take effect, by e-mail to the address associated with your account or by a notice in the service. The notice will describe the change and the date on which it takes effect. Changes that are required by law, or that only benefit you or are purely editorial, may take effect sooner.
If you do not agree with a change, you may reject it by closing your account before the change takes effect, and you may request a refund of your unused credit; closing your account for this reason costs you nothing. If you continue to use the service after the change takes effect, the changed Terms apply to you.
Completed purchases of credit remain governed by the version of these Terms in force when they were concluded, except where a change is required by law. The date of the current version is shown at the top of this page.
25. Personal data
We process personal data in accordance with the General Data Protection Regulation and Czech law. Details of what data we process, why, for how long, with whom we share it and what rights you have are set out in our Privacy Policy.
26. General provisions
Documents that form the contract. The contract between you and us consists of these Terms, any additional conditions shown to you for a specific feature, and, for purchases of credit, the order and its confirmation. The Privacy Policy is information for you and does not form part of the contract. The purchase of a figurine is governed by the seller’s terms of sale, not by these Terms.
Severability. If any provision of these Terms is or becomes invalid, ineffective or unenforceable, the other provisions remain unaffected, and the provision will be replaced by a valid provision that comes closest to its purpose, to the extent permitted by law.
Assignment. You may not transfer your rights or obligations under these Terms without our prior consent. We may transfer our rights and obligations under these Terms to another company, for example in connection with a reorganisation or a transfer of our business, provided that this does not reduce your rights or the protections available to you. We will inform you of such a transfer.
No waiver. If we do not enforce a right under these Terms immediately, this does not mean that we have waived it.
Language. These Terms are issued in English. If we provide a translation, the English version governs in case of any inconsistency, subject to mandatory law.
Codes of conduct. We are not bound by any code of conduct in relation to consumers.
Effective date. This version of the Terms is effective from the date shown at the top of this page.
